Change for 10 LLC (collectively, “Change for 10”, “us”, “we” or “our”) are pleased to provide you with access to and use of our website, mobile and device applications, content, streaming services, products, services, goods, equipment, interfaces, promotions and any other materials (collectively, “Change for 10 content”) that we may provide.

 

 

Contract Between You and Change for 10.

Change for 10, LLC’s Terms and Conditions of Use (“Terms”), along with our Privacy Policy form a legal agreement between you and Change for 10, LLC and govern the access and use of our website, and all of it’s content. BY ACCESSING OR USING ANY CHANGE FOR 10 SERVICE, YOU AGREE TO BE BOUND BY AND ABIDE BY THESE TERMS, OUR PRIVACY POLICY AND ANY AMENDMENTS THERETO, AND YOU AGREE YOU ARE AT LEAST 18 YEARS OF AGE.

 

Changes to These Terms.

We may at our sole discretion change these Terms or our Privacy Policy periodically to comply with state, local and/or international laws or to meet our changing requirements. These changes shall be effective immediately for new customers upon being posted to the Change for 10 website. Current customers shall be effective 30 days after posting unless otherwise stated. In the event you do not agree with any of our changes you must immediately discontinue use all Change for 10 content and cancel your account by logging in and clicking on your profile and selecting “My Account” and follow the steps to delete your account. By continuing to use any of our services beyond the 30-day period you accept any and all changes.

 

Intellectual Property.

 

1. Ownership.

You acknowledge and agree that Change for 10™ , it’s logos, names, graphics,  content, materials, and any other intellectual property rights, including copyrights, trademarks, or any other rights, are solely owned by Change for 10, LLC.

 

2. Limited License.

With each program purchase, Change for 10, LLC grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license only for you to access and use the specific purchased program and related content for your personal, non-commercial use only.

 

3. Restrictions.

By accessing and/or using any of our products or services you represent and warrant that: (a) your access complies with any and all requirements in these Terms; (b) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a terrorist supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

 

4. Disclaimer of Warranties.

You acknowledge and agree that all Change for 10 services are provided “as is” and “as available”, with all faults, errors and omissions, and without any performance assurances or guarantees of any kind. We make no guarantee or warranty that the Change for 10 service will meet your requirements or that they will be uninterrupted or error-free. You agree to use the Change for 10 services at your sole risk.

 

You will not hold Change for 10 or its affiliates responsible for any loss or damage that results from your access to or use of the Change for 10 services.

 

Mobile Networks; Texting.

When you access any Change for 10 content through a mobile network your network or roaming provider’s messaging, data and other rates and fees may apply. Our online content requires an internet connection at all times.

 

We may text our customers using an auto-dialer. You are free to opt-out of receiving text messages from us at any time.

 

Your Content and Account.

 

1. User Generated Content.

Change for 10 may allow users of our website to communicate with one another (“User Generated Content”). You may not submit or upload User Generated Content that is false, defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, negative, offensive, illegal, or infringing. We have the right, but not the obligation, to monitor and modify User Generated Content at our sole and absolute discretion.

 

You grant Change for 10, LLC a perpetual and royalty-free global license to use and reproduce User Generated Content in any and all formats including on our website and advertisements.

 

2. Your Account; Passwords.

Our programs require you to create an account to access your purchased programs and blog content. You agree to maintain accurate and complete information on your “My Account” page. You agree not to impersonate any person by using another person’s username, password or other account information.

 

You are responsible for maintaining the confidentiality of your username and password. You may not share your password or other login information with any person. Change for 10, LLC reserves the right to cancel your account without refund if you shared your login and password with any person.

 

Member Public Profiles.

When you create an account with us your name and image may be accessible by other members.

 

Access to Content.

If you are an active, paid member of Change for 10, you will be able to stream your purchased Change for 10 workout programs, access our blog and more. Change for 10 memberships are not transferable and may only be used by the individual who signed up for the account. If you cancel your membership, you will no longer have access to any Change for 10 content.

Safety and Results.

All Change for 10 content is never intended to constitute medical or health care advice. Although we design our programs with safety and health in mind, each person’s physical abilities are unique to them. It is critical that you consult your physician or licensed healthcare provider, not Change for 10, before beginning this or any fitness program. All Change for 10 content is provided for entertainment and informational purposes only and is not intended to diagnose or treat any medical or healthcare condition, replace the advice of a licensed healthcare professional, or provide any medical advice, opinion, diagnosis, treatment or guarantee. 

 

Individual results using Change for 10 may vary based on a number of factors including your age, height, weight, diet, frequency and intensity of your workouts. Exercise and proper diet are necessary to achieve and maintain weight loss and muscle definition. Testimonials featured on our website have used a combination of our workouts, proper diet and additional cardio to achieve the best results possible.

 

Nutrition Information.

Change for 10 provides nutritional information via our blog and is intended to help our members be healthy and achieve long-term success. The general nutrition content we curate is from various 3rd party sources that can be found online or in textbooks. You should consult your physician or other licensed healthcare provider, not Change for 10, before making any changes to your nutrition and dietary regimen, especially if you have any unique medical needs or conditions including but not limited to diabetes, food allergies, heart conditions, are nursing, are pregnant or may become pregnant.

 

Metrics, Values and Figures Are Estimates Only.

All metrics, including but not limited to, nutritional values, such as calorie, fat, protein, fiber, and other related values, are estimates only. You should use this as general information only and consult your physician or other licensed healthcare provider for further information.

Safety Warnings.

Change for 10 provides general instruction and visual reference during workouts. Failure to read and follow instructions could result in serious injury or death.

Age Restrictions.

Our programs are intended for ages 18+.

 

Assumption of Risk.

You expressly acknowledge and agree that your access to Change for 10 content, including our website and blog may involve physical activities that may lead to personal injury or death. You hereby acknowledge and willingly accept these risks and agree to unconditionally release and hold Change for 10, LLC harmless from any and all claims, suits, damages, losses, causes of action, costs, expenses or liability arising out of or related to your access, use and/or involvement with any Change for 10 content or services.

 

Piracy.

If you ever learn of any counterfeit activity of Change for 10 content, please let us know by sending an email us via our Contact page on our website.

 

Waiver of Class Actions.

Waiver of class actions and class arbitrations. You and Change for 10 agree that each party may bring disputes against the other party only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding, including without limitation federal or state class actions, or class arbitrations.  

 

Indemnification; Limitation of Liability.

You agree to indemnify, and hold Change for 10, LLC, it’s affiliates, shareholders, officers, employees, suppliers harmless from and against any claim, action, demand, loss, suit, or damages (including attorneys' fees) made or incurred by any third party arising out of or relating to your improper use of any Change for 10 services, your violation of these Terms, or your violation of any rights of a third party.

 

Miscellaneous.

1. Availability and Acts of God. Change for 10 content is available online and it’s availability requires a strong internet connection. Our website’s “up-time” is of industry standards and is susceptible to periodic down time, maintenance or other acts including acts of God. You acknowledge this periodic risk and agree that small periods of downtime does not constitute a refund of your purchase.

2. Governing Law. You agree that the laws of the State of Missouri, without regard to principles of conflict of laws, will exclusively govern these Terms and Conditions and any Dispute between you and Change for 10, LLC.  

3. Notices. All notices required or permitted to be given under these Terms must be in writing. Change for 10 may provide you notice by sending you an e-mail to the address on file with us, which you agree electronically satisfies any legal requirement that such notice be in writing. You must ensure THAT YOUR E-MAIL ADDRESS ON FILE WITH CHANGE FOR 10 IS ACCURATE AND CURRENT. You shall give any notice to Change for 10 by means of email through our website contact page.

4. Severability. If any provision of these Terms or a part thereof, shall be unlawful, void or for any reason unenforceable, then that provision or part thereof shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions or parts thereof.

5. Lifetime Access. Lifetime access to your purchased Change for 10 content is in effect for the entirety of your life, or the life of Change for 10 as an operating entity, whichever ends first.

6. No Third Party Beneficiaries. Except as set forth in these Terms, only you and Change for 10 may enforce these Terms; no third party shall be entitled to enforce these Terms.

7. Assignment. Change for 10 may assign these Terms to any person or entity at any time, for any reason, with or without notice to you.

8. Amendments; Entire Agreement. These Terms may not be amended unless in a signed writing by the executive owners of Change for 10. These Terms constitute the final, exclusive and complete agreement between you and Change for 10.

9. Language. It is the express intent of the parties that these Terms and all related documents have been written in English.
